Arizona’s ACC Tightens LLC Filing & Compliance Rules — What You Need to Know

Starting June 16, 2025, and rolling out through 2026, the Arizona Corporation Commission (ACC) is introducing several major changes to strengthen security, improve accuracy, and crack down on fraudulent business filings. If you’re an Arizona business owner—or support one—here’s what’s changing and what it means for you.





1.

🔐 Two Forms of ID Required for In‑Person Filings



As of June 16, 2025, anyone submitting documents in person—like forming an LLC or amending existing records—must present two forms of identification. You can bring either two primary forms (like a driver’s license and passport) or one primary and one secondary (like a license and a voter registration card).


This ID requirement will eventually extend to online, mail, and fax filings once the ACC launches its new e-filing system later this year.





2.

✍️ New Signing Authority Form (Optional)



A new, optional Signing Authority Form allows LLCs to designate who is authorized to sign and submit documents to the ACC on behalf of the company. Only a current member or manager can file this form, and it must be submitted in person with ID until the online option becomes available.


This change is aimed at reducing unauthorized filings and provides an added layer of protection for LLCs.





3.

✅ LLC Attestation Requirement Begins January 2026



Starting January 2026, the ACC will begin contacting LLCs that haven’t filed anything in the past two years. You’ll be asked to confirm that your business still exists by simply clicking a link in a verification email. If there’s no response within 60 days, the LLC will move into a “pending inactive” status. After another 60 days, the business could be administratively dissolved.


This change helps keep the ACC’s records accurate while giving business owners a chance to act before losing their LLC status.





4.

📄 Self-Drafted Annual Reports & Disclosure Certificates Now Allowed



As of June 16, 2025, businesses can submit their own versions of the Annual Report and Certificate of Disclosure—as long as they follow the ACC’s official Guidance Worksheet. If the worksheet isn’t attached, the filing will be rejected.


This provides flexibility for businesses with more complex structures, while still ensuring compliance with Arizona law.
